Course contents
This course will provide students with a sound knowledge of the consequences of the choice of business entity and management of enterprises. Emphasis will be placed on private and public limited companies. Particular emphasis is placed on the company's financial affairs, and various forms of equity transactions, including stock exchange and securities law. The course will also focus on the impact economic issues may have on the company. In this regard, the regulations on debt proceedings will be reviewed and especially the consequences of insolvency, with emphasis on the conditions for bankruptcy, the bankruptcy estate¿s right to seizure, setting aside a debtor¿s preference and offsetting in bankruptcy cases. The course will also provide students with knowledge about the regulations of business transfers, including special issues related to the employment situation.
Learning outcomes
Upon successful completion of this course the student should be able to demonstrate:

in-depth knowledge of the different types of business entities - how they are organised, corporate assets and encumbrance and characteristics of each type of entity with special emphasis on private and public limited companies, including the regulations about the misuse of authority and responsibility in corporate matters.

in-depth knowledge of the regulations of the private and public limited companies capital structure including collateral security, cost of acquisitions and dividends, mergers and demergers as well as agreements between the company and shareholders.

advanced knowledge of regulations regarding the stock exchange and securities of importance for larger firms, including knowledge of the financial system's structure, role and regulation as well as regulations on trading in financial instruments, insider trading, manipulation of markets and unfair business practices

a nunderstanding of the consequences should an entity have economic problems, including those relating to legal recovery of debt, insolvency as grounds for bankruptcy, the scope of the bankruptcy estate's right of seizure, setting aside a debtor¿s preference and offsetting in bankruptcy cases.

in-depth knowledge of selected employment law issues with particular emphasis on the company's and employees' situation in different forms of business transfers

at the start of the semester.
Teaching methods
Lectures and group work. Estimated workload is about 200 hours.

The person responsible for the course, in consultation with the student representative, decides the method of evaluation and whether the courses will have a midterm- or end of term evaluation, see also the Quality System, section 4.1. Assessment methods and criteria
4-hour written examination with letter grades.
Due to grade requirements for state authorised public accountants, a regular examination will be held both autumn and spring.
